1. Service Description

Nero Flow is an AI-powered receptionist service designed specifically for tradespeople in the UK. The service includes:

• AI Missed-Call Receptionist: Automatic text-back and call handling for missed calls.
• SMS and Web Chat Assistant: 24/7 automated handling of customer inquiries via text and website chat.
• Unified Inbox: Centralised dashboard for all communications (calls, texts, web chat).
• Client Dashboard: Access to metrics, captured inquiries, and system settings.

We reserve the right to modify, update, or discontinue certain features of the service at any time, with reasonable notice provided to active subscribers.

2. Payment Terms

By subscribing to Nero Flow, you agree to the following payment terms:

• Setup Fee: A one-time, non-refundable setup fee of £495 is required to configure, train, and install your AI receptionist system (unless covered by our 14-day money-back guarantee).
• Monthly Subscription: The ongoing service fee is £197 per month, billed automatically in advance every 30 days.
• Payment Method: You must maintain a valid payment method (e.g., credit/debit card) on file. All payments are processed securely via our payment partner, Stripe.
• Late Payments: Failure to pay the monthly subscription fee may result in suspension or termination of your service.

3. Cancellation Policy

We aim for complete flexibility. Our cancellation terms are as follows:

• No Long-Term Contracts: You may cancel your monthly subscription at any time without penalty.
• Notice Period: Cancellations must be requested at least 48 hours before your next billing cycle to avoid being charged for the upcoming month.
• 14-Day Money-Back Guarantee: New customers are eligible for a full refund of the £495 setup fee if the system does not capture at least one job or enquiry within the first 14 days of going live.
• Data Access Post-Cancellation: Upon cancellation, your access to the unified inbox and client dashboard will be revoked at the end of your current billing cycle. We recommend exporting any necessary data prior to cancellation.

4. Limitation of Liability

To the maximum extent permitted by law, Nero Engine Group Ltd shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of the Nero Flow service. This includes, but is not limited to:

• Loss of revenue, profits, or anticipated savings.
• Loss of business opportunities or contracts.
• Loss or corruption of data.
• Any damages resulting from system downtime, technical failures, or third-party service interruptions (e.g., Twilio, Stripe).

Our total liability to you for any claims arising out of or relating to these terms or our services shall not exceed the total amount paid by you to us in the 12 months preceding the claim.

5. User Responsibilities

As a user of Nero Flow, you agree to:

• Provide accurate and up-to-date business information for the configuration of the AI.
• Use the service solely for lawful business purposes.
• Not use the service to send spam, unsolicited communications, or malicious content.
• Maintain the confidentiality of your account credentials.

6. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising under or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
